On October 7, 2005, Environmental Power Corporation (the “Registrant”), issued a press release announcing that it had filed a registration statement relating to a proposed underwritten public offering of its common stock. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated by reference herein.

 

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
