Item 8.01. Other Events.

On December 1, 2009, Acuity Brands, Inc. (the “Company”) issued a press release announcing the commencement of a fixed spread cash tender offer for any and all of its outstanding $200 million aggregate principal amount of 8.375% Notes due 2010 on the terms and conditions set forth in the Offer to Purchase and the Letter of Transmittal that are being sent to the holders of such notes.

A copy of the press release relating to the announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
