On December 10, 2013, Agios Pharmaceuticals, Inc. (the “Company”) received notice that Celgene Corporation (“Celgene”) has elected to extend the discovery phase of the strategic collaboration between the Company and Celgene by one year, extending the initial period of exclusivity from four years to five years. As a result of the extension, the Company will receive a $20.0 million extension payment from Celgene, which payment is expected by the end of the second quarter of 2014. On December 11, 2013, the Company issued a press release announcing the extension. A copy of the press release is being filed as Exhibit 99.1 to this report.
