EXPLANATORY NOTE

This Amendment to our report on Form 6-K, which was originally furnished to the U.S. Securities and Exchange Commission on October 17, 2014 (the “Original Form 6-K”), is being furnished solely for the purposes of amending the Original Form 6-K to update Exhibit 2 (Management Proposal to be Submitted for Approval at the Extraordinary General Shareholders’ Meeting to be held on November 18, 2014) (“Exhibit 2”) to reflect a comment from the São Paulo Securities, Commodities and Futures Exchange (BM&FBOVESPA S.A. Bolsa de Valores, Mercadorias e Futuros). An updated version of Exhibit 2 has been attached to this Amendment and supersedes the earlier version attached to the Original Form 6-K. No other portions of the Original Form 6-K were amended.
