This Current Report on Form 8-K is filed by Hudson Pacific Properties, Inc., a Maryland corporation (referred to herein as the “Company”), in connection with the matters described herein.

 

Item 7.01. Regulation FD Disclosure.

On January 8, 2015, the Company and Canada Pension Plan Investment Board (“CPPIB”) issued a joint press release announcing that they have formed a joint venture through which CPPIB will purchase a 45% interest in the Company’s 1455 Market Street office property for approximately $219.15 million before closing adjustments.

A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1. The information contained in Exhibit 99.1 is being furnished pursuant to Item 7.01 of this Current Report on Form 8-K and shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to liability under Section 18 of the Exchange Act.
