EXPLANATORY NOTE

Attached to this report on Form 6-K as Exhibit 99.1 is a copy of the Amended and Restated Investment Agreement, dated March 6, 2016, by and among Westport Innovations Inc. and Pangaea Two Management, LP (the “Agreement”). A copy of the Agreement is being filed concurrently on SEDAR. Certain portions of the Agreement have been omitted pursuant to applicable Canadian law, as indicated by the word “[Redacted].”
