Explanatory Note: The purpose of this Amendment No. 2 is to correct the beneficial ownership of the Reporting Persons as of December 31, 2017 reported in Amendment No. 1 to Schedule 13G, filed by the Reporting Persons on February 14, 2018 to include shares of the Issuer’s common stock issuable upon conversion of convertible notes held by Deerfield Private Design Fund II, L.P. and Deerfield Private Design International II, L.P. The information set forth in this Amendment No. 2 reflects beneficial ownership of each Reporting Person as of December 31, 2017, and is based on 117,147,107 shares of the Issuer’s common stock outstanding, as reported in the Issuer’s Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2017.
