Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On January 7, 2009, Benedict Fung informed Network CN Inc. (the "Company") that he was resigning as President of the Company and Daniel So informed the Company that he was resigning as a Managing Director of the Company, each effective immediately.  Mr. So will remain non-executive director of the Board of Directors.
