PART III - NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Perrigo Company plc (the “Company”) has determined that is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2016 (the “Form 10-K”) by March 1, 2017, the original due date for such filing. On February 27, 2017, the Company signed a definitive agreement to divest its rights to the royalty from the global nets sales of the multiple sclerosis drug, Tysabri®. Announcement date or signing date? Given the timing of this development, the Company has not completed its calculation of the implied fair value of the Tysabri® asset. In connection with the review for the sale, the Company’s independent auditors also are evaluating the historical revenue recognition practices associated with Tysabri®. In addition, the Company is in the process of identifying certain deferred tax assets and other related effects at Omega Pharma Invest N.V. As a result of these matters, the Company cannot, without unreasonable effort or expense, file its Form 10-K by the due date of March 1, 2017.

Until the completion of the review and evaluation of the matters discussed above in Part III, the Company is unable to provide a reasonable estimate of its detailed results of operations for the fiscal year ended December 31, 2016. In the press release, furnished as an exhibit to the Company’s Current Report on Form 8-K filed on February 27, 2017, the Company disclosed expected unaudited calendar year 2016 preliminary net sales of $5.6 billion, unaudited calendar year 2016 preliminary loss per diluted share in a range of $(28.85) - $(29.00), unaudited preliminary calendar year 2016 operating loss of $(4.65) billion - $(4.68), and full year 2016 cash flow from operations of $1.01 billion.
