Item 2.06  Material Impairments.

On February 19, 2009, The Cleveland Electric Illuminating Company (CEI), a wholly owned subsidiary of FirstEnergy Corp., filed an Amended Application for an Electric Security Plan with the Public Utilities Commission of Ohio (PUCO) by filing a Stipulation and Recommendation setting forth the terms of a Stipulated Electric Security Plan, which was later supplemented on February 26, 2009 through the filing of a Supplemental Stipulation (collectively, the Amended ESP).  As disclosed in the Annual Report on Form 10-K for the year ended December 31, 2008, filed by FirstEnergy and CEI, the Amended ESP included CEI’s proposal to reduce its recoverable Extended Regulatory Transition Charge balance as of May 31, 2009 by 50 percent.  On March 25, 2009, the PUCO issued an order approving CEI’s Amended ESP without modification.  Accordingly, CEI will recognize a $216 million regulatory asset impairment which will reduce net income in the first quarter of 2009 for FirstEnergy and CEI by approximately $139 million ($0.46 per share of FirstEnergy common stock).  This non-cash charge will not result in future cash expenditures.
