Entry into a Material Definitive Agreement. ------------------------------------------ On August 31, 2005, our board of directors amended our 2001 Omnibus Plan effective upon the completion of our pending public offering: (1) to limit the total number of shares that may be issued under the plan to the lesser of 25% of our outstanding common stock, or 700,000 shares, (2) to limit the number of shares that may be the subject of new awards during fiscal year 2006 or fiscal year 2007 to 50,000 shares per year, and (3) to limit awards to non-employee directors during these two fiscal years to annual grants of restricted stock vesting ratably over three years beginning on the first anniversary date of grant, with the number of shares per director limited to an aggregate market value of $25,000 on the date of grant. Item 5.02 Departure of Directors or Principal Officers; Election of --------------------------------------------------------- Directors; Appointment of Principal Officers. -------------------------------------------- A new independent director, Charles W. Bennett, has been elected to our board of directors, effective August 31, 2005. Effective as of that date, our board of directors increased the size of our board by one and elected Mr. Bennett to fill the vacancy. The board has not yet determined to which committees of the board Mr. Bennett will be named. Mr. Bennett founded Consolidated Title Services in 1981 and since then has served as its chief executive officer and as chief executive officer of its subsidiary, California Land Title of Marin. In 2004, Consolidated Title Services became a subsidiary of Stewart Information Services Corporation, a company listed on the New York Stock Exchange.
