On April 1, 2002 the Company began the final phase of conversion to an updated financial accounting package. Although a majority of the conversion work is complete, remaining issues delayed the preparation of the consolidated financial statements.

Financial information necessary for the filing of a complete and accurate Form 10-Q could not be provided within the prescribed time period without unreasonable effort and expense.
