Subject: Statement made pursuant to Circular VIII, No: 39 of the Capital Markets Board.

The Board of Directors of the Company convened on 20 December 2006 has taken the following decision;

Parallel to the previous decisions taken by Turkcell’s Board of Directors, Turkcell provided capital advance payments to Turkcell’s 100% subsidiary, Turktell Uluslararasi Yatirim Holding A.S. (“Turktell Holding”), which, in turn, used these funds to contribute to its indirect subsidiary based in Ukraine, Astelit Limited Liability Company (“Astelit”)’s financing. In order for the capital increase procedures to be completed with regards to the above mentioned capital advance payments, it has been resolved that Turkcell will participate to the total capital increase in the amount of TRY 195,000,000.- of which TRY147,316,740.46 shall be from prior capital advance payments and the remaining portion in the amount of TRY 47,683,259.54 shall be from the cash committed to be paid within 3 years.
