Item 2.01 Completion of Acquisition or Disposition of Assets

On February 26, 2010, PPL Corporation (“PPL” or the “Company”) issued a press release announcing that it has completed the previously announced sale of its Long Island generation business to an affiliate of J-POWER USA Development Co., Ltd. (“J-POWER USA”) for approximately $125 million.  A copy of the press release is furnished as Exhibit 99.1.

During the month of March 2010, senior members of PPL’s management will be attending conferences and meeting with investors and industry analysts to discuss PPL’s business, during which it is expected that the representatives of PPL will reaffirm the Company’s 2010 earnings forecast of $3.10 to $3.50 per share.
