The aggregate market value of the voting stock (Common Stock) held by non-affiliates of the Registrant as of the close of business on June 30, 2004 was approximately $8.6 billion based on the closing sale price of the common stock on the New York Stock Exchange on that date. EXPLANATORY NOTE

     The Company is filing this Amendment No. 1 to its Form 10-K (this “Amendment”) for the year ended December 31, 2004 (the “10-K”) solely for the purpose of replacing Exhibit 23, as initially filed with the 10-K, with Exhibit 23 to this Amendment.
