Item 7.01 Regulation FD Disclosure.
     On April 16, 2007, the Company authorized the release to the news media of the attached press release announcing that it has signed a letter of intent to sell part of the operations of its Durable Medical Equipment (“DME”) business for a sale price of approximately $16.5 million. See Exhibit 99.1, which is incorporated herein by this reference.
