Item 1.01.  Entry into a Material Definitive Agreement.
 
On April 20, 2012, Great Wolf Resorts, Inc., a Delaware corporation (the “Company”), entered into a Third Amendment  (the “Third Merger Agreement Amendment”) to that certain Agreement and Plan of Merger, dated as of March 12, 2012, by and among the Company, K-9 Acquisition, Inc. (the “Offeror”) and K-9 Holdings, Inc. (the “Parent”) (as amended, the “Merger Agreement”), as amended by the First Amendment to the Agreement and Plan of Merger, dated as of April 6, 2012 (the “First Merger Agreement Amendment”) and that Second Amendment to the Agreement and Plan of Merger, dated as of April 18, 2012 (the “Second Merger Agreement Amendment”). Under the terms of the Merger Agreement, on March 13, 2012, Offeror commenced a tender offer (the “Offer”) to purchase all of the Company’s outstanding shares of common stock, par value $0.01 per share (the “Common Shares”).  Under the Third Merger Agreement Amendment, (i) the Offer Price (as defined in the Merger Agreement) was increased from $7.00 per Common Share to $7.85 per Common Share and (ii) the amount of the Company Termination Fee (as defined in the Merger Agreement) was increased (a) in certain circumstances, from $6,948,000 plus reimbursement of certain expenses up to $2,385,000, to $7,792,000 plus reimbursement of certain expenses up to $2,675,000 and (b) in certain other circumstances, from reimbursement of certain expenses up to $2,385,000, to reimbursement of certain expenses up to $2,675,000.
 
Other than as expressly modified pursuant to the First Merger Agreement Amendment, which was filed as Exhibit 2.1 to the Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) by the Company on April 9, 2012, the Second Merger Agreement Amendment, which was filed as Exhibit 2.1 to the Current Report on Form 8-K filed with the SEC by the Company on April 18, 2012 and the Third Merger Agreement Amendment, the Merger Agreement, which was filed as Exhibit 2.1 to the Current Report on Form 8-K filed with the SEC by the Company on March 13, 2012, remains in full force and effect as originally executed on March 12, 2012. The preceding summary is qualified in its entirety by reference to the Third Merger Agreement Amendment, a copy of which is attached hereto as Exhibit 2.1 and is incorporated herein by reference.
