Item 7.01   Regulation FD Disclosure.

     On October 31, 2007, PowerSecure International, Inc., a Delaware corporation (the “Company”), issued a press release announcing it has won $20 million in new contracts in recent weeks. A copy of the Company’s press release containing this announcement is attached hereto as Exhibit 99.1 and incorporated herein by this reference.
