The offering consisted of 5,175,000 shares of XPOF Class A common stock made available to certain existing stockholders; the offering also included 675,000 shares based on the full exercise of the over-allotment option granted to the underwriters. According to the announcement, the shares were purchased at a $20 per share public offering price. The announcement also noted that Xponential Fitness did not receive any proceeds from the sale of the shares offered by the selling stockholders. Roth Capital Partners acted as comanager for the offering.
